Plain-language summary of the terms that apply to any engagement with Digitall Entertainment Network Ltd trading as Broadcast.

Who we are

Digitall Entertainment Network Ltd, a company registered in England and Wales, trading as Broadcast. Registered office: 4 Edgecot Grove, London N15 5HD.

How we contract

Every project runs under a Statement of Work signed by both parties. The SoW specifies scope, timeline, price, milestones, deliverables, hand-off criteria. These general Terms sit alongside the SoW; if there's a conflict the SoW wins.

Payment

We invoice at agreed milestones — typically project start (30%), midpoint (30%), completion (40%). Retainer engagements invoice monthly in advance. Payment terms are 14 days from invoice. Late payment beyond 30 days may pause work until settled.

Intellectual property

Custom code we write for you is yours, transferred on full payment of the relevant milestone. Third-party dependencies and open-source libraries remain under their own licences. We retain the right to describe the work publicly in our portfolio unless you specifically ask us not to in the SoW.

Confidentiality

Anything you share as part of the engagement is confidential. We won't disclose it. We'll sign your NDA if you send one. If we don't have an NDA, we treat client material as if we did.

Warranties and liability

We warrant the work will match the SoW description and be free from material defects for 30 days after delivery. We'll fix material defects during that window at no charge. Our total liability under any engagement is capped at the fees paid under that engagement. We hold £2m professional indemnity insurance.

Cancellation

Either side can cancel with written notice. If you cancel mid-project you pay for work delivered plus any committed-but-not-started phase. If we cancel (rare) we refund the current phase's unearned fees and help with transition to another team.

Governing law

These Terms and any SoW are governed by the laws of England and Wales. Disputes go to the courts of England and Wales.
